Formation of Business Entities. We are experienced in forming all types of business entities including corporations, limited liability companies, family limited partnerships, limited liability partnerships, general partnerships, joint ventures, cooperatives, professional corporations, non-profit corporations and franchises. We frequently recommend to clients the legal entity that gives them protection against personal liability and is consistent with their estate planning.

Buying or Selling a Business. We assist clients with designing transactions to sell or purchase businesses or property. We believe that successful transactions are ones that are good for the Seller and the Buyer, providing both parties with a “win-win” solution. Our expertise in income and estate taxes benefit clients by minimizing the amount Uncle Sam extracts from the transaction.

Employee Benefits. We have a particular expertise in compensation packages and structures as well as all forms of deferred compensation and equity-flavored compensation. Conflict Resolution. We assist our clients in conflict resolution through collaboration and mediation. If non-confrontational techniques do not resolve the dispute, we assist with arbitration and court proceedings when appropriate.
